The following Terms and Conditions of Use (hereinafter referred to as “Terms”) apply to any visitor or user (hereinafter referred to as “You”) of the website located at https://www.albint.com and any websites or portals (singularly and collectively, “the Site”) that Albany International Corp. or its subsidiaries (singularly and collectively, “AIC”) owns and controls. By accessing and using the site, You hereby agree to be bound by these Terms.
The following Terms govern Your access to and use of the Site, including but not limited to all materials, data, reports, content, services, online communications, “cookies”, IP addresses, drawings, descriptions, specifications, designs, documents and other information (including without limitation features contained in any of the foregoing or in any objects or software), whether business or technical, that is or becomes available on or through AIC’s Site (collectively, the “Material”).
Please note that the use of certain Material or the conduct of certain transactions on or through the Site may be subject to additional terms and conditions that shall be made available to You prior to Your use of such Material or participating in such transactions.
1. LIMITATION OF LIABILITY
To the full extent permitted by law, AIC is not liable for any direct, indirect, punitive, special, incidental, consequential, or exemplary damages (including, without limitation, loss of business, revenue, profits, goodwill, use, data, electronically transmitted orders, or other economic advantage) arising out of or in connection with the Site, even if AIC has previously been advised of, or reasonably could have foreseen, the possibility of such damages, however they arise, whether in breach of contract or in tort (including negligence), including without limitation damages due to: (a) the use of or the inability to use the Site; (b) statements or conduct of any third party on the Site, including without limitation unauthorized access to or alteration of transmissions or Material, malicious or criminal behavior, or false or fraudulent transactions; or (c) Material You may download, use, or modify.
AIC does not accept any liability for damage to Your computer system or loss of data that results from Your use of the Site and AIC cannot guarantee that any files that You download are free from viruses, contamination or destructive features.
To the extent that any jurisdiction does not allow the exclusion or limitation of direct, incidental or consequential damages, portions of the above limitation or exclusion may not apply.
2. INTELLECTUAL PROPERTY RIGHTS
"AIC Trademarks" means all names, marks, brands, logos, designs, trade dress, slogans and other designations AIC uses in connection with its products and services. You may not remove or alter any AIC Trademarks, or co-brand Your own products or material with AIC Trademarks, without AIC's prior written consent. You acknowledge AIC's rights in AIC Trademarks and agree that any use of AIC Trademarks by You shall inure to AIC's sole benefit. You agree not to incorporate any AIC Trademarks into Your trademarks, service marks, company names, Internet addresses, domain names, or any other similar designations, for use on or in connection with computer or Internet-related products, services or technologies.
Except as expressly authorized in writing by AIC, You agree not to disclose, reproduce, modify, rent, lease, loan, license, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of the Material of the Site, in whole or in part, by any means. You must not modify, decompile, or reverse engineer any Material AIC discloses to You, and You must not remove or modify any copyright or AIC Trademarks, other notice of ownership, export notices, or confidential markings.
All Material supplied or otherwise disclosed by AIC on the Site are supplied or disclosed on the express understanding that such supply or disclosure shall not be construed as granting to You, expressly or by implication, estoppels, or otherwise, any license under any invention, patent copyright, trademark, or trade secret (or any other rights whatsoever) in such Material.
You may not copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way the services, web pages or Material on the Site or the computer codes of elements comprising the Site. Regardless of the above, You may download insubstantial excerpts of Material, as authorized by AIC to Your hard disk for the purpose only of viewing it provided that no more than one temporary copy of any information is made. Upon termination, if requested by AIC, You must provide certification that You have destroyed any downloaded and/or printed Material.
By submitting information, text, photos, graphics or other content to AIC via the Site, You grant AIC a right to use such Materials in accordance with prior Non-Disclosure Agreements or other contractual agreements.
Any use other than that permitted hereunder may only be undertaken with AIC’s prior express written authorization.
3. REGISTRATION, PASSWORDS AND SECURITY
You are responsible for maintaining the confidentiality of Your User Name and Password and are responsible for all activities that are carried out under them. AIC does not have the means to check the identities of people using the Site and will not be liable where Your User Name and Password is used by someone else. You agree to notify AIC immediately by email to supportcenter@albint.com or by phone at +1 (518) 447-6444 of any unauthorized use of Your User Name and Password or any other breach of security of which You become aware.
You may not use anyone else’s User Name or Password at any time without the express permission and consent of AIC. Access to and use of password protected and/or restricted areas of the Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Site may be subject to civil liability or criminal prosecution under applicable laws.
4. YOUR USE OF THE SITE OR VISITOR MATERIAL AND CONDUCT
You agree that in using the Site You will not:
• use the Site in any way that may lead to the encouragement, procurement or carrying out of any criminal or unlawful activity;
• upload, post or otherwise transmit via the Site Material that: (a) is inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to AIC or other users of the Site; (b) includes unauthorized disclosure of personal or third party information; or (c) violates or infringes anyone's intellectual property rights. You agree not to upload, post, or otherwise transmit materials which contain software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or
• seek to bypass or interfere with any security features of the Site, or interfere with any of AIC’s Sites, servers, or networks.
And you confirm that:
• in relation to any material submitted to the Site, You have the right to do so and have obtained all necessary licenses and or approvals.
AIC reserves the right to remove Material and suspend, restrict, or terminate Your access to this Site at any time without notice at AIC’s discretion.
5. INDEMNIFICATION
In the event that You divulge any Material to the detriment of AIC, You shall indemnify AEC in full against all costs, expenses, damage or loss directly or indirectly occasioned thereby. You shall further indemnify and hold harmless AEC against any and all claims by third parties, (including any costs, damages, penalties, attorney’s fees and similar expenses), alleging infringement of trademarks, trade names, patents, copyrights, designs, registered designs and/or any other IPR (including without limitation any “passing off” claims) in respect of any matter in relation to or arising from Your use of the Site including any breach or suspected breach of these Terms or Your violation of any law or the rights of a third party.
6. DISCLAIMER OF WARRANTIES
YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE, INCLUDING THE INFORMATION, SERVICES AND CONTENT IS PROVIDED ON AN \"AS IS\" \"AS AVAILABLE\" AND \"WITH ALL FAULTS\" BASIS. AIC DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. AIC MAKES NO REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES AS TO THE USEFULNESS QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF THE SITE. THE INTERNATIONAL CONVENTION FOR THE SALE OF GOODS, THE UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT AND THE UNIFORM ELECTRONIC TRANSACTIONS ACT ARE EXPRESSLY DISCLAIMED.
AIC does not warrant that the Site will be available uninterrupted and in a fully operating condition. Access to the Site may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons reasonably beyond AIC’s control.
7. SECURITY AND PRIVACY
You must read AIC’s Privacy Policy which contains important information about the use of Your personal data other information regarding Your privacy and AIC’s security processes and policies.
AIC may co-operate with any law enforcement authorities or in response to a receipt of a court order requesting or directing AIC to disclose the identity of or locate anyone breaching Clause 4 or otherwise for the prevention or detection of crime or the apprehension or prosecution of offenders. There may be other circumstances in which AIC may be required by law to disclose information about You or Your use of the Site.
8. COMPLIANCE WITH EXPORT CONTROL LAWS
The Site and the Material shall be subject to U.S. export control laws, and Your access and use shall also be subject to the laws of the country where You reside, including, but not limited to, the International Traffic in Arms Regulations (ITAR) (22 C.F.R. Parts 120-130), the Arms Export Control Act (22 U.S.C. 2778), the Export Administration Regulation (EAR) (15 C.F.R. Parts 730-774) and the Export Administration Act of 1979, as amended (50 U.S.C. 2401 et. Seq.). In particular, AIC and You shall not disclose any technical data, nor deliver, export, re-export or re-transfer any Material out of the USA, or to foreign persons or entities within or outside the USA, without prior review and determination by AIC and the proper written authorization and/or license from the U.S. Government. You hereby indemnify and agree to hold AIC harmless from any costs, damages, penalties, attorney’s fees and similar expenses of AIC due to Your breach (or threatened breach) of such obligation.
Notwithstanding anything to the contrary, AIC makes no representation that the Site or the Material is appropriate or available for use in other jurisdictions. If You choose to access the Site from such a jurisdiction, You do so at Your own risk.
9. GENERAL TERMS
You must not assign or otherwise transfer the Terms or any right granted hereunder.
You agree that any material breach of the Terms will result in irreparable harm to AIC for which damages would be an inadequate remedy and, therefore, in addition to its rights and remedies otherwise available at law, AIC will be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs. You waive any requirement for the posting of a bond or other security if AIC seeks such an injunction.
Rights and obligations under the Terms which by their nature should survive will remain in full effect after termination or expiration of the Terms.
Any express waiver or failure to exercise promptly any right under the Terms will not create a continuing waiver or any expectation of non-enforcement. If any provision of the Terms is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect.
10. CHANGES TO THESE TERMS
AIC reserves the right to amend these Terms at any time. All such changes will take effect once they have been posted on the Site and You will be deemed to have accepted any such changes by Your use of the Site from such time.
11. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and interpreted in accordance with the laws of the State of New York.
ACCESS TO THE SITE TERMINATES AUTOMATICALLY WITHOUT NOTICE IF YOU BREACH ANY OF THESE TERMS OR CONDITIONS.
